Terms of Service

1. Acceptance of Terms

By accessing or using RepupAI ("the Service"), operated by Cibin John, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all clients, users, and visitors of repupai.com and associated subdomains.

2. Description of Service

RepupAI is a reputation management platform that provides:

• Branded Sentiment Gate portals for capturing customer feedback
• Private escalation of negative feedback (1–3 star) to business clients
• Routing of positive feedback (4–5 star) to Google Business Profile review pages
• AI-powered review response generation using the Sentinel Engine
• Client dashboards for monitoring reputation metrics

3. Subscription and Billing

RepupAI is offered at $350/month with no setup fee. Billing begins from the date of account activation. There is no free trial or complimentary period.

Your monthly rate is price-locked for the duration of your subscription. RepupAI will not increase your rate regardless of pricing changes for new clients. Subscriptions may be cancelled at any time with written notice to [email protected]. There is no minimum term and no cancellation penalty.

4. Exclusivity Commitment

RepupAI commits to serving only one business per industry per geographic service area. Once a client is onboarded, RepupAI will not enter into a service agreement with any direct competitor operating in the same industry within the same service area for the duration of the client's active subscription. This exclusivity commitment is contractual and enforceable.

5. Client Responsibilities

Clients agree to:

• Provide accurate business information during onboarding
• Use the Service in compliance with all applicable laws and Google's Terms of Service
• Not use the Sentiment Gate to solicit fake or incentivised reviews in violation of Google's review policies
• Maintain the confidentiality of their account credentials
• Notify RepupAI promptly of any unauthorised access to their account

6. Intellectual Property

RepupAI and all its content — including but not limited to the Sentinel Engine, platform design, AI prompts, methodology, and branding — are the property of Cibin John. All rights reserved.

Clients retain ownership of their own business data, customer feedback, and review content. By using the Service, clients grant RepupAI a limited licence to process and display this data solely for the purpose of providing the Service.

7. AI-Generated Content

The Sentinel Engine generates review response suggestions using AI. These suggestions are provided as a starting point and do not constitute legal, professional, or business advice. Clients are responsible for reviewing and approving any AI-generated content before publishing it publicly. RepupAI is not liable for the consequences of publishing AI-generated responses without review.

8. Limitation of Liability

To the maximum extent permitted by applicable law, RepupAI and Cibin John shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or loss of business opportunities, arising from your use of or inability to use the Service.

RepupAI's total liability to any client for any claim arising from the Service shall not exceed the total fees paid by that client in the three months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. RepupAI does not warrant that the Service will be uninterrupted, error-free, or that specific results (including Map Pack rankings) will be achieved. SEO outcomes depend on many factors outside RepupAI's control, including Google's algorithm changes.

10. Termination

Either party may terminate the service agreement at any time with written notice. Upon termination, client access to the dashboard will be deactivated and the associated Sentiment Gate will be taken offline. Client data will be retained for 30 days post-termination before deletion, during which time clients may request an export.

RepupAI reserves the right to suspend or terminate accounts that violate these Terms, with or without prior notice.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cibin John operates, without regard to its conflict of law provisions.

12. Changes to Terms

RepupAI reserves the right to modify these Terms at any time. Clients will be notified of material changes via email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
